TGS Baltic advised on the divestment of the seller of coffee dispensing machines and coffee KAFO Eesti to Lithuanian wholesale group Eugesta.

For Eugesta the main purpose of the transaction is expanding onto the retail market for coffee, tea and other foodstuffs and onto the market for the retail and maintenance of coffee dispensing and other electrical household appliances in Estonia. As a result of the transaction, the selection of the brands of coffee products and coffee dispensing machines offered by the group for sale is expected to increase.

TGS Baltic assisted the sellers in structuring the divestment package, the preparation and negotiation of transaction documents, including the corporate demerger documents. The assistance included tax advice on the payment of bonuses to employees by the seller.

The agreement was signed in April and the transaction was completed in June after receiving merger clearance from the Estonian competition authorities.

KAFO Eesti is mainly involved in sales of coffee machines and coffee for corporate customers. The company is known as Jura coffee machine dealer.
