Shares of the Company have been successfully distributed and admitted to trading on the Lithuanian and Polish regulated markets at the beginning of July 2011. This transaction, during which shares of the Company were admitted to trading on AB NASDAQ OMX Vilnius and on the Warsaw Stock Exchange, was the first admission of a Lithuanian company shares to regulated markets of two countries.
In this process TGS Baltic, i.e. partner Vidmantas Drizga and associate Mantas Gofmanas, were advisors to the offering advisor and to the offering broker on matters in connection with the Lithuanian law, they drafted the prospectus of offering shares of the Company and their admission to the Lithuanian and Polish regulated markets, as well as all other documents related to the project, represented the Company, as well as the offering broker and the offering advisor before the Securities Commission of the Republic of Lithuania, the Central Securities Depository of Lithuania and performed any other actions necessary in connection with the offering and admission of the shares to the regulated markets. On matters of the Polish law, the offering broker and the offering advisor were advised by a major global law firm Baker & McKenzie.
This transaction is already the second project related to offering of shares of a Lithuanian company in Poland and their admission to trading on the Warsaw Stock Exchange, during which TGS Baltic provided process related legal services to the offering broker and advisor. The first one was the offering of shares in AB Avia Solutions Group to Polish investors and their admission to trading on the Warsaw Stock Exchange (more information on this project is available here). Besides, both these projects are the first and the only transactions of this type, when shares of a company registered in Lithuania were admitted to trading on a regulated market of another country.
