Our experts Aurimas Pauliukevičius and Indrė Vickaitė-Liatukė have advised Lithuanian electricity transmission operator LITGRID AB (“LITGRID”) on the acquisition of two 18.8% stakes of shares in Norwegian company TSO Holding AS (“TSO Holding”) (in total 37.6%) from Danish and Finnish energy transmission system operators, Energinet and Fingrid, respectively, and the subsequent sale of stake of LITGRID in TSO Holding to its parent company UAB EPSO-G (“EPSO-G”). The value of these transactions is approximately EUR 13 million.

Upon the completion of LITGRID’s acquisition on the 31st of October, its stake in TSO Holding was increased up to 39.6%.

Later in 2022, UAB EPSO-G acquired 39.6% of shares in TSO Holding from its subsidiary LITGRID. The transaction was closed on the 30th of November.

After the closing, EPSO-G holds the largest stake (39.6%) in TSO Holding. The remaining shareholding in TSO Holding is held by the Norwegian and Swedish electricity TSOs, Statnett (32.2%) and Svenska Kraftnat (28.2%), respectively.

TSO Holding is a minority shareholder (34%) in Nord Pool Holding AS, a company based in Norway. Nord Pool Holding AS owns 100% of the Nord Pool electricity exchange. Nord Pool provides electricity exchange services in Central and Western Europe, the United Kingdom, and the Nordic and Baltic countries. The exchange trades electricity and provides clearing and settlement services. The remaining 66% of Nord Pool Holding AS is held by Euronext Nordics Holding, a European stock exchange group.
