TGS Baltic advised Merko Ehitus Eesti AS, the largest construction and property development company in Estonia, on the acquisition of a 35% holding in the company Connecto Eesti.

With that transaction, Merko, who had until now concentrated mainly on high voltage systems in the field of electrical engineering, entered the business of low and medium voltage power networks, gas networks, and telecommunications infrastructure. During the transaction, the electrical engineering business line of Merko Ehitus Eesti’s subsidiary Merko Infra merged with Connecto Eesti, which employs approximately 300 people.

TGS Baltic’s team consisting of partners Kadri Kallas and Kirsti Pent, senior associates Katri Paas-Mohando and Olger Kaelep and junior counsel Mirko Kikkamägi advised the client in the course of the entire process, incl. during negotiations concerning the letter of intent and transaction documents and communication with the Estonian Competition Authority. The project comprised several different transactions, incl. financing issues and merger control topics, which affected structuring.
