Andres Kalm is an attorney-at-law in the firm’s litigation practice group who has successfully represented clients in numerous civil disputes both in court and extrajudicially. Over the years, Andres has represented clients in various contractual disputes. He has strong knowledge and long-time experience in various real estate and property interest disputes – starting from more standard disputes in relation to mortgages and legal relationships between co-owners and joint owners to complex and specific disputes over the extent of property interests and different claims with respect to real rights (right of superficies fees and claims for compensation, real encumbrances, claims for the recognition and protection of ownership, etc.). In addition to the resolution of real estate disputes, he has advised clients on various property transactions on the side of buyers, sellers, co-owners, owners of neighbouring immovables and mortgagees, but also on (commercial) lease transactions and on entry into construction contracts.
Andres Kalm has also represented clients in several corporate law disputes in relation to the validity of the resolutions of the bodies of companies and corporate law transactions, but also in relation to different disputes between shareholders concerning the management and activities of organisations. He has also assisted and represented creditors in enforcement and insolvency proceedings and related judicial proceedings. Andres has participated in several voluminous projects where it has been necessary to simultaneously represent in many related judicial proceedings in order to achieve the client’s purpose.
Additionally, Andres advises clients on corporate law matters as well. He has advised clients on the establishment of companies, share sale transactions and various company restructuring transactions. Also, Andres has advised different investment transactions on the side of both investors and those taking in investors. Andres has a strong background in tax law – that was also the subject of his Master’s thesis – and, therefore, he pays close attention to tax aspects in corporate law advisory services. He has wide experience in providing consultations regarding employee option plans. To some extent, he advises clients in tax matters also outside the scope of transaction consultancy; for example, he has advised companies in relation to the international taxation of employees working across borders, but also in relation to the taxation of internationally active undertakings or freelancers.
Andres’ clients have mainly been production, construction and trade sector enterprises, but also transport, technology and asset management companies and freelancers.
