    Dalia Tamašauskaitė-Žilienė is Partner, advocate, at TGS Baltic, having extensive experience accumulated for over 18 years of legal practice in mergers and acquisitions, corporate reorganization and transformation, governance of companies and their groups, funding and similar projects.

      TGS Baltic advised KŪB Koinvesticinis Fondas which together with the Lithuanian Business Angel Network (LitBAN) and venture capital fund Open Circle Capital invested EUR 200,000 in the artificial intelligence start-up Attention Insight, the developer of a product intended for the mass media.

      TGS Baltic advised Dutch factoring company Factris in acquiring Lithuanian invoice financing company UAB Debitum fori. The transaction resulted in the acquisition of 100% of shares in UAB Debitum fori operating under the trade name Debifo.

      TGS Baltic advised AUGA group, AB and its largest shareholder, Baltic Champs Group, UAB, in implementing a secondary public offering (SPO) of shares in the company in Lithuania, also in admitting the new shares to trading on the Polish and Lithuanian regulated markets (on the Warsaw Stock Exchange and AB Nasdaq Vilnius), and transferring all its shares from the Additional Trading List to the Official Trading List.

      TGS Baltic advised UAB Ermitažas, a major Lithuanian chain offering finishing goods, gardening items, and construction materials, in the acquisition of the Estonian company Bauhof, which is a leader in the same sector. After the acquisition UAB Ermitažas became the third largest merchant of construction materials and household items in the Baltics.

      TGS Baltic represented UAB Ecoservice, a waste management company, in the transaction with UAB ALGA on the acquisition of a controlling interest in UAB Marijampolės švara. After the closing, UAB Ecoservice has acquired 66.31% of the shares in UAB Marijampolės švara. The remaining shares are held by the Marijampolė Municipality and a natural person.

      TGS Baltic advised KŪB Koinvesticinis fondas on investments exceeding EUR 300,000 in a successful start-up, Millo Appliances. Koinvesticinis fondas with other business companies and business angels overall invested more than EUR 450,000.

      Advised the Scandinavian financial group Swedbank on the acquisition of Danske Bank personal banking business in Lithuania and Latvia (loan portfolio value c. EUR 600 million), as well as on the subsequent acquisition of a pension fund management company from Danske Bank and its merger with a Swedbank pension fund management company (EUR 2.2 million).

      Provided legal services to Lietuvos dujos, AB, Lithuanian operator of natural gas transmission and distribution systems and major supplier, on implementing the requirements of the EU Third Energy Package in Lithuania both in the process of adoption of national legislation and its amendments and in the process of actual unbundling of transmission, distribution and supply activities.

      Acted as a legal adviser to the state enterprise Lithuanian Airports on a number of complex public procurement matters relating to the development of infrastructure projects, as well as other corporate and commercial matters, including a study in preparation for airport concession, change of legal form, payments to the Civil Aviation Authority.

      Advised Lietuvos geležinkeliai, AB (Lithuanian railways) on corporate and public procurement issues related to implementation of the Rail Baltica Global Project, part of which is to develop the missing high-quality physical infrastructure and logistical railway connections for passenger and freight transport between Finland, the Baltic States and other EU countries.
