    Mantas is an Associate Partner at TGS, specializing in the spheres of capital markets, funds & asset management and private equity & venture capital. He is with over 13 years of legal practice in the above spheres. Since the year 2009 Mantas advised on almost all the Lithuanian issuers’ offerings (IPOs, SPOs and bond issues) conducted in Lithuania and abroad. His experience in these transactions includes consultations to the Finance Ministry of the Republic of Lithuania, MAXIMA GRUPĖ, UAB and Lietuvos energija, UAB in structuring the debt securities programmes and notes issues under the programmes, consultations to underwriters in IPOs of AB Novaturas, AB Avia Solutions Group, AB AviaAM Leasing, consultations to issuers such as AUGA group, AB, AB INVL Technology, AB INVL Baltic Real Estates, AB Klaipėdos nafta in execution of their secondary public offerings of shares, etc.

      TGS Baltic advised MAXIMA GRUPĖ, UAB in approval of EUR 1 billion medium-term note program and making a note issue of EUR 300 million according to it. The subscribed notes will soon be admitted to trading on the Irish stock exchange (Euronext Dublin) and AB Nasdaq Vilnius. That is the largest note issue by a private equity company in the Baltic States.

      TGS Baltic advised UAB Medicinos bankas in approving the subordinated bond programme of up to EUR 10 million and placing the first over EUR 2.2 million bond emission under the programme. In the beginning of August, the placed bonds must also be admitted to trading on AB Nasdaq Vilnius. UAB FMĮ Orion securities acted as the bank’s intermediary for placement of the issue.

      Advised UAB Lietuvos Energija in approving the medium term note program

      TGS Baltic advised UAB Lietuvos Energija in approving the medium-term note program, which has been upsized to EUR 1.5 billion and issuing a EUR 300 million bond issue under the program. Since 11 July 2018, the placed bonds have been admitted to trading on the Luxembourg Stock Exchange and AB Nasdaq Vilnius. It is one of the largest transactions of this kind in the Baltic States.

    • Advised joint bookrunners Dom Maklerski PKO Banku Polskiego w Warszawie, Swedbank, AB and Trigon Dom Maklerski S.A.

      Advised joint bookrunners Dom Maklerski PKO Banku Polskiego w Warszawie, Swedbank, AB and Trigon Dom Maklerski S.A. in performance of the initial public offering (IPO) of AB Novaturas in Lithuania, Poland and Estonia, also admitting its shares to trading on Polish and Lithuanian regulated markets. After the implementation of this public offering, over EUR 22 million has been raised. This was one of bigger IPOs in the Baltics. Furthermore, during this process, for the first time in the Baltic States, the strategic investor (Enterprise Investors) partly recouped its investments by implementing the IPO.

    • Advised AB INVL Technology and AB INVL Baltic Real Estate

      Advised AB INVL Technology and AB INVL Baltic Real Estate on their transformation into special closed-ended investment companies. These where the first ever transactions in Lithuania when listed companies were transformed into investment companies, supervised by the Bank of Lithuania.

    • Advised City Service

      Advised City Service in implementing a cross-border merger, on establishment of a European Company (Societas Europaea, SE) and admission of its shares to trading on the Warsaw Stock Exchange and delisting from AB Nasdaq Vilnius. This was the first project of transforming a listed company into a European Company.

    • Advised UAB Baltic Champs

      Advised UAB Baltic Champs in implementing a merger with AB Agrowill Group (now AUGA group, AB). The transaction was the first of such type in Lithuania. The value of the transaction amounted to almost EUR 30 million. After the merger transaction, a mandatory tender offer was made. This was the first mandatory tender offer implemented in AB Nasdaq Vilnius and Warsaw Stock Exchanges simultaneously.

    • Advised ING Securities S.A. and Rubicon Partners Corporate Finance S.A.

      Advised ING Securities S.A. and Rubicon Partners Corporate Finance S.A. on the initial public offering of new shares in AB AviaAM Leasing to investors in Poland and admission of the shares to trading on the Warsaw Stock Exchange. The public offering raised over PLN 112 million

    • Advised FR&R Invest IGA S.A., a Swedbank group company

      Advised FR&R Invest IGA S.A., a Swedbank group company, in submitting and implementing a mandatory tender offer to buy up the remaining voting shares of company group ALITA, AB and AB Anykščių Vynas, also in addressing the Supervision Service of the Bank of Lithuania for reduction of the offer prices (it was for the first time in Lithuania that the offer prices were successfully reduced).

    • Advised Rubicon Partners Corporate Finance SA and Dom Maklerski IDM SA 

      Advised Rubicon Partners Corporate Finance SA and Dom Maklerski IDM SA on Lithuanian law issues, in connection with the offering of newly issued shares of AB Agrowill Group (now AUGA group, AB) to investors in Poland and the admission of the company’s shares to trading on the Warsaw Stock Exchange, also the admission of the newly issued shares to trading on AB Nasdaq Vilnius. This transaction was the first admission of shares of a company registered in Lithuania to trading on regulated markets of two countries.

    • Advised Valeant Pharmaceuticals International, Inc. 

      Advised Valeant Pharmaceuticals International, Inc. in submitting and implementing a mandatory tender offer to buy up the remaining voting shares of AB SANITAS (transaction value: c. EUR 19.8 million).

    • Advised Rubicon Partners Corporate Finance SA and Dom Maklerski BZ WBK SA 

      Advised Rubicon Partners Corporate Finance SA and Dom Maklerski BZ WBK SA on Lithuanian law issues, in connection with the initial public offering of newly issued shares of AB Avia Solutions Group to investors in Poland (total transaction value: EUR 19 million) and the admission of the company’s shares to trading on the Warsaw Stock Exchange. This transaction was the first admission of shares of a company registered in Lithuania to trading on a foreign regulated market.

    • Represented a major private equity and venture capital holder in the Baltic States BaltCap OU

      Represented a major private equity and venture capital holder in the Baltic States BaltCap OU in establishing the first venture capital fund in Lithuania, investing into small and medium-size enterprises in Lithuania. It is a part of the Lithuanian initiative of the JEREMIE Holding Fund controlled by the European Investment Fund.
