The former Sparta factory in Vilnius is planned to be transformed into a technology campus where the Baltic IT businesses will be established. TGS Baltic colleagues Julija Skardžiūtė, Indrė Vickaitė-Liatukė, Marius Matonis, and Dainius Stasiulis advised on the transfer of UAB KS Investicija shares and on signing the biggest office space deal in the Baltics with UAB Tesonet.

TGS Baltic has advised in the sale of 45% of new issue shares in holding company UAB VK Investicija (VKI), controlled by KS Investicija to the Swiss investor Marquess Global AG. VKI is a holding company of AB Sparta, a former textile manufacturing company acquired by VKI in 2018. VKI is planning to develop commercial reals estate projects in Vilnius city.

Marquess Global AG is part of next-generation fast-growing cybersecurity and big data solutions company Tesonet group which provides services in more than 70 countries worldwide.

TGS Baltic has advised VKI and its main shareholder KS Investicija in structuring and implementing the transaction with Marquess Global AG, i.e. drafting shareholders agreement, other transaction documents, assisted in negotiations related to the management of VKI and to the conclusion of the lease agreements in commercial objects to be developed by VKI. The coordination of external managers of securities accounts was ensured by the lawyers of TGS Baltic.

The extensive structure of the various business of the Eugesta group and provision of multinational services by Tesonet group were evaluated for this transaction by the competition experts of TGS Baltic team with respect to merger clearance requirements.
