Rūdolfs Vilsons is a lawyer of TGS Baltic Merger and Acquisition practice group and a lawyer – tax advisor of the Tax practice group practising also win the field of corporate law and commercial law.
He has been practising in law office TGS Baltic since 2015. He has gained vast experience during his employment in the tax advisory, transaction assurance and audit companies, incl., Ernst&Young Baltic, TaxLink Baltic, for more than 8 years. Rūdolfs advises Latvian and foreign clients on the tax application and legal issues; he is engaged in the assessment and structuring of client transactions by analysing tax and legal consequences. He has experience in the capital share, undertaking and asset due diligence, preparation for sale, preparation and implementation of reorganisation, purchase and sales transactions. He advises clients on the issues regarding investment projects, development of corporate tax and other risk management systems, as well as assessed the compliance of the processes (incl., operational and tax application) introduced by merchants with the requirements of regulatory enactments and best practice. Rūdolfs represents the clients also during the State Revenue Service (SRS) tax audits, provides assistance to the customers on contesting and appeal against the decisions of the SRS.
Assisted BENU Aptieka Latvija SIA with acquisition of 100% of shares of SIA Pils zaļā aptieka.
Assisted KnowledgePrice, a digital transformation services firm with the sale of their 100% shares to Sapiens International Corporation, a leading global provider of software solutions for the insurance industry.
Advised the Ministry of Economics on the acquisition of 18.31% of the shares of the natural gas transmission and storage system operator AS Conexus Baltic Grid by the Latvian electricity transmission system operator AS Augstsprieguma tīkls from the German energy company Uniper Ruhrgas International GmbH.
Assisted BENU Aptieka Latvija SIA with acquisition of 100% of share of SIA Cēsu Vecpilsētas Aptieka.
Assisted Clear Channel International BV with organising of the due diligence process of Clear Channel subsidiaries in Latvia, Estonia, and Lithuania (EUR 150 million).
Advising shareholders of AS Interbaltija AG on buy out of a minority shareholder (SIA Wine Holding) and subsequent sale of 100% shares of AS Interbaltija AG to Amber Beverage Group.
Advising Estonian company 1Home Group AS on acquiring of a student hotel in Latvia and obtaining EUR 8.4 million financing from AS DNB banka;
Advising 20% shareholder of SIA VUDLANDE on buy-out of 80% shareholder of the company - Latvian Timber Ltd. (UK), obtaining 100% shares of SIA VUDLANDE as the result of the transaction;
Advised Clear Channel International B.V. with the initial offering of $225 million aggregate principal amount of 8.75% Senior Notes due 2020 (2015);
Advised BBG AS, Baltikums Bank AS and two private individuals on the sale insurance company Baltikums AAS to Austrian insurer Vienna Insurance Group AG (VIG). Baltikums AAS is one of the first insurance companies established in Latvia, and during over 15 years of operation it has accumulated substantial experience in providing non-life insurance services in Latvia, Lithuania, and Estonia, holding an 8% market share. In the financial year 2014, the company generated premiums of more than 20 MEUR (2015);
In a team with other TGS Baltic lawyers provided legal assistance to Communicorp Group in the process of sales of Latvian radio group AS Radio SWH Latvia to Cinamon Holding OÜ, including participation in drafting and assisting in negotiations on all the necessary transaction documentation relevant to the completion of the project (2015);
TGS Baltic successfully represented the insolvent SIA Viesis 2 claiming EUR 1,786,655.54 damages jointly and severally from its former management board members in order to enable the company to pay the claims of its creditors.
